Super Age Games – Event Terms and Conditions
These Event Terms and Conditions (these “Terms”) govern registration for, purchase of tickets to, and attendance at the Super Age Games and related event programming and services made available in connection with the event (collectively, the “Event”). These Terms are between Super Age Group, Inc. (“Super Age”) and the individual registering for or attending the Event (“you” or “your”). If a ticket is purchased or registration is completed on behalf of another individual, these Terms apply to that individual as “you.”
If you purchase a ticket or complete registration on behalf of another individual, you represent and warrant that you have authority to agree to these Terms on that individual’s behalf. If you do not have such authority, do not purchase a ticket or complete registration on behalf of another individual. If you or that individual do not agree to these Terms, do not attend the Event.
If you register for or participate in any competition, workout, trial, warm-up, demonstration, or other physical activity that is part of the Event, you are a “Participant” for purposes of these Terms. As a condition to participating in the Event as a Participant, you must separately accept Super Age’s Participant Acknowledgement & Assumption of Risks, Waiver & Release of Liability (the “Participant Waiver”). If there is any conflict between these Terms and the Participant Waiver as to any matter relating to participation in the Event, including participant injury, assumption of risk, release of claims, or emergency medical care, the Participant Waiver will control.
IMPORTANT: SECTION 16 (DISPUTE RESOLUTION; GOVERNING LAW) CONTAINS PROVISIONS THAT GOVERN HOW DISPUTES BETWEEN YOU AND SUPER AGE ARE RESOLVED. IN PARTICULAR, SECTION 16 CONTAINS AN AGREEMENT TO ARBITRATE THAT, WITH LIMITED EXCEPTIONS, REQUIRES DISPUTES BETWEEN YOU AND SUPER AGE TO BE RESOLVED BY BINDING, FINAL, AND INDIVIDUAL ARBITRATION RATHER THAN IN COURT. SECTION 16 ALSO CONTAINS A WAIVER OF CLASS, COLLECTIVE, COORDINATED, AND REPRESENTATIVE PROCEEDINGS. PLEASE READ SECTION 16 CAREFULLY.
By purchasing or accepting a ticket, completing registration, attending the Event, or electronically indicating your acceptance of these Terms (for example, by clicking “I agree” or checking an acceptance box), you agree to and will be bound by these Terms.
- Registration and Ticket Information. You must provide accurate, current, and complete information when registering for or purchasing a ticket. Super Age may reject, cancel, suspend, or revoke any ticket or registration if any information provided is inaccurate, incomplete, misleading, or fraudulent, or if the ticket or registration is used in a manner that violates these Terms or applicable law. Super Age may offer different ticket types, packages, or access levels, including VIP passes and spectator tickets. The features, benefits, inclusions, access rights, restrictions, and pricing applicable to each ticket type will be as described on the Event website or otherwise at the time of purchase and may be updated by Super Age before purchase. You acknowledge that a ticket is a revocable license to attend the Event, subject to these Terms, venue rules, safety rules, and directions from Event personnel. We may use third-party platforms to process ticket purchases and registrations. Those platforms may have separate terms governing payment processing and account access. Super Age may use one or more third-party platforms to process ticket purchases, registrations, and related transactions. Those platforms may have separate terms governing payment processing, account access, and platform use. These Terms govern your participation in the Event and the related rights and obligations between you and Super Age.
- Pricing, Payment, and Final Sale Policy. Ticket prices, fees, taxes, and any add-on charges will be shown at checkout. You are responsible for all amounts charged in connection with your order. Except as expressly required by applicable law or expressly stated by Super Age in writing, all ticket sales are final. Except as expressly provided for in these Terms, no refunds, credits, cancellations, exchanges, or partial refunds will be provided for any reason, including illness, injury, schedule conflicts, travel issues, weather, personal emergencies, dissatisfaction, or inability to attend. Tickets are transferable only if the transfer is completed through Super Age’s approved transfer process, the applicable transfer fee is paid, and the transfer is completed no later than 14 days before the Event. Super Age may cancel any ticket that is resold, transferred, offered for unauthorized resale, or otherwise used in violation of these Terms or Super Age’s transfer procedures.
- Event Changes, Postponement, and Cancellation. Super Age may change the Event date, time, location, format, schedule, programming, trials, layout, partners, speakers, judges, benefits, amenities, or other Event features at any time in its sole discretion. Super Age may, in its sole discretion, postpone, suspend, modify, reschedule, or cancel the Event, in whole or in part, if Super Age determines that doing so is advisable for safety, security, legal, operational, commercial, public health, weather, venue, technology, partner, or other reasons. If the Event is postponed or rescheduled, your ticket will remain valid for the rescheduled Event date unless Super Age expressly states otherwise in writing, and such continued validity (or any other remedy expressly offered by Super Age) will be Super Age’s sole obligation and your sole and exclusive remedy with respect to such postponement or rescheduling. If the Event is canceled in its entirety and not rescheduled, Super Age will, as its sole obligation and your sole and exclusive remedy for such cancellation, refund the ticket price paid for the canceled Event (excluding any ticket processing fees). Unless Super Age expressly states otherwise in writing, Super Age will not be responsible for any travel, lodging, meals, transportation, lost time, lost opportunity, or other out-of-pocket costs incurred by you as a result of any cancellation, postponement, or rescheduling.
- Admission, Venue Rules, and Removal. Entry to the Event is subject to presentation of a valid ticket and compliance with all Event and venue procedures. As a condition of entry, attendees must comply with any identification, bag check, screening, credential verification, and other security measures required by Super Age or the venue. Any attendee under the age of 18 must be accompanied and supervised at all times by a parent, legal guardian, or other responsible adult. You must comply with these Terms, all posted rules and instructions, all venue policies, all safety and security procedures, and all instructions from Super Age, venue personnel, security, medical staff, judges, volunteers, contractors, and Event representatives. Super Age may deny entry to, remove, eject, disqualify, or suspend any person, without refund, if Super Age determines in its sole discretion that the person: (a) violated these Terms or any Event or venue rule; (b) poses a health, safety, security, or operational risk; (c) engages in disruptive, abusive, threatening, unsafe, unlawful, or inappropriate conduct; (d) appears to be intoxicated or under the influence of drugs; (e) interferes with the Event, venue operations, judges, staff, or other attendees; or (f) is otherwise acting inconsistently with the spirit or safe operation of the Event.
- Participant Eligibility and Compliance. To register for or participate in the Event as a Participant, you must be at least 18 years old on the date of the Event and satisfy all registration, credentialing, check-in, and other eligibility requirements applicable to Participants. Participants may participate only in those competitions, workouts, trials, warm-ups, demonstrations, and other participant-only activities or areas for which they are properly registered and approved. Each Participant must comply with these Terms, the Participant Waiver, all Event rules, and all instructions from Event personnel. Super Age may deny, suspend, disqualify, or remove any Participant if Super Age determines, in its sole discretion, that the Participant: (a) does not satisfy any eligibility, registration, credentialing, waiver, health, or safety requirement; (b) violates these Terms, the Participant Waiver, or any Event rule or instruction; (c) appears intoxicated or impaired; or (d) otherwise presents a safety, fairness, integrity, or operational risk to the Event. Super Age may issue or make available equipment, devices, materials, credentials, or other items for use by Participants in connection with the Event. Participants must use any such items only as instructed and, if requested by Super Age, return them promptly in the condition received, reasonable wear and tear excepted. Participants are responsible for any loss of, theft of, or damage to such items while in their possession or control, and each Participant shall reimburse Super Age for the reasonable replacement or repair cost of any unreturned, lost, stolen, or damaged items.
- Spectator and Attendance Risks. You understand that attending a live event involves ordinary and inherent risks, including crowd conditions, noise, lighting, weather, slips, trips, and falls; contact with other people; temporary structures, equipment, barriers, cables, flooring, and other venue conditions; illness (including communicable illness and food- or beverage-related illness); and being struck by or coming into contact with Event-related equipment, materials, displays, or other objects. Except to the extent prohibited by applicable law, you voluntarily assume the ordinary and inherent risks of being present at the Event and venue. This Section applies for the benefit of Super Age, the venue, the Event operator and producer, sponsors, partners, vendors, contractors, and each of their respective officers, directors, employees, agents, volunteers, and representatives.
- Intellectual Property Rights.
- Super Age Intellectual Property. “Super Age,” “Super Age Games,” and all related names, logos, trademarks, service marks, branding, and Event materials are owned by or licensed to Super Age. Except as expressly permitted by Super Age in writing, you may not use any of the foregoing in any manner that suggests sponsorship, endorsement, affiliation, or association with Super Age or the Event.
- User Content; Social Media Content. If you submit, send, or otherwise provide to Super Age any testimonials, reviews, comments, feedback, photographs, videos, audio, social media posts, or other content in connection with the Event, including content you post and expressly tag or mention to Super Age or a Super Age social media account (collectively, “User Content”), you hereby grant to Super Age and its affiliates a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free right and license to use, reproduce, publish, display, perform, distribute, modify, create derivative works from, and otherwise exploit such User Content in any media now known or later developed, for any lawful business purpose, including publicity, promotion, marketing, advertising, and commercial exploitation, without additional notice, approval, or compensation. You represent and warrant that you own or otherwise control all rights necessary to grant the foregoing license and that Super Age’s use of the User Content as permitted by these Terms will not violate the rights of any third party.
- Third-Party Providers, Sponsors, and Partner Offerings. The Event may include services, activations, products, samples, experiences, hospitality, wellness offerings, testing, screenings, merchandise, food and beverage, transportation, or other goods or services offered by third parties, including the venue, event operators, sponsors, vendors, and other partners (collectively, “Third-Party Offerings”). Third-Party Offerings are offered by the applicable third party, not by Super Age, unless Super Age expressly states otherwise in writing. Super Age does not own or control, and is not responsible for, the acts, omissions, products, services, advice, care, conduct, policies, terms, privacy practices, data practices, or content of any third party. If you access, receive, sign up for, participate in, or are eligible for any Third-Party Offering, you understand that: (a) availability may change; (b) additional consents, waivers, terms, conditions, or privacy policies may apply; (c) the applicable third party may require separate intake, eligibility, medical, health, or other disclosures; and (d) any issue, injury, loss, claim, dispute, dissatisfaction, or request arising out of or relating to that Third-Party Offering must be addressed with the applicable third party, subject to applicable law. You further understand that, in connection with any Third-Party Offering, information may be provided directly by you to the applicable third party or may be shared with the applicable third party as reasonably necessary to facilitate, administer, or confirm your access to, eligibility for, or participation in that Third-Party Offering. Any such information may be collected, used, disclosed, retained, secured, or otherwise processed by the applicable third party under its own terms, policies, and practices. Super Age is not responsible for any third party’s handling of such information, or for any claim, loss, or liability arising out of or relating to a third party’s collection, use, disclosure, retention, security, or other processing of such information, subject to applicable law.
- Event Administration. Super Age reserves the right, in its discretion, to interpret Event rules, make judgment calls, determine eligibility, revise results, and resolve ties, scoring issues, timing issues, standings, and operational disputes. Any scores, rankings, timings, measurements, outputs, standings, placements, or other results may be corrected, delayed, suspended, or withdrawn by Super Age at any time.
- Photography, Video, and Publicity. The Event is a public event, and by attending or participating in the Event, you understand and agree that you may be photographed, filmed, recorded, or otherwise captured in any media in connection with the Event. To the fullest extent permitted by applicable law, you hereby irrevocably grant to Super Age and its affiliates a worldwide, perpetual, transferable, sublicensable, royalty-free right and license to capture, record, use, reproduce, publish, display, perform, distribute, transmit, edit, modify, create derivative works from, and otherwise use your name, image, likeness, voice, appearance, biographical information, and any photograph, video, audio recording, or other recording or depiction of you captured in connection with the Event, in any media now known or later developed, for any lawful business purpose, including event operations, reporting, security, archival use, publicity, promotion, marketing, advertising, and commercial exploitation. You acknowledge and agree that you have no right to inspect, approve, or control any such use, and no right to any compensation, royalty, or other payment in connection with any such use. You may take photos/videos for personal, non-commercial use unless prohibited by Event rules or signage. Any commercial filming/photography, live streaming, or monetized content requires Super Age’s prior written consent.
- Personal Property. You are solely responsible for your own belongings and personal property brought to, used at, or left at the Event or venue. Super Age is not responsible for any lost, stolen, or damaged property, except to the extent required by applicable law.
- Disclaimers. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE EVENT, ALL TICKETS, ALL EVENT PROGRAMMING, ALL THIRD-PARTY OFFERINGS, AND ALL RELATED GOODS, SERVICES, CONTENT, INFORMATION, MEASUREMENTS, OUTPUTS, AND MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SUPER AGE DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, SUPER AGE DOES NOT WARRANT OR GUARANTEE THAT ANY SCORE, RANKING, TIMING, MEASUREMENT, OUTPUT, STANDING, PLACEMENT, OR RESULT WILL BE ACCURATE, COMPLETE, AVAILABLE, UNINTERRUPTED, ERROR-FREE, OR FREE FROM DELAY.
- Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SUPER AGE, ITS AFFILIATES, THE VENUE, THE EVENT OPERATOR, SPONSORS, PARTNERS, VENDORS, CONTRACTORS, OR SERVICE PROVIDERS, AND ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, OR VOLUNTEERS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST OPPORTUNITY, LOST GOODWILL, OR LOST DATA, ARISING OUT OF OR RELATING TO THE EVENT, YOUR TICKET, YOUR ATTENDANCE, OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (INCLUDING NEGLIGENCE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF SUPER AGE, ITS AFFILIATES, THE VENUE, THE EVENT OPERATOR, SPONSORS, PARTNERS, VENDORS, CONTRACTORS, AND SERVICE PROVIDERS, AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, AND VOLUNTEERS, ARISING OUT OF OR RELATING TO THE EVENT, YOUR TICKET, YOUR ATTENDANCE, OR THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, WILL NOT EXCEED THE GREATER OF: (A) $100 AND (B) THE AMOUNT PAID BY YOU FOR THE APPLICABLE TICKET.
NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY TO THE EXTENT SUCH LIMITATION OR EXCLUSION IS PROHIBITED BY APPLICABLE LAW, INCLUDING FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR OTHER NON-WAIVABLE LIABILITY. - Indemnity. To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Super Age, its affiliates, the venue, the Event operator and producer, sponsors, partners, vendors, contractors, volunteers, and each of their respective officers, directors, employees, agents, and representatives (collectively, the “Indemnified Parties”) from and against any and all losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees and court costs) incurred by any of the Indemnified Parties in connection with any claim, demand, action, allegation, or proceeding brought by a third party against any Indemnified Party arising out of or relating to: (a) your breach of these Terms; (b) your violation of applicable law, venue rules, or Event rules; (c) your negligence, willful misconduct, or other wrongful acts or omissions; or (d) any injury to, or damage to the property of, any person caused by you.
- Privacy. You acknowledge the use, collection, and disclosure of any personal information that you submit to Super Age in connection with the Event or that is collected about you through the Event as described in our Privacy Policy, which is located at https://superage.com/privacy/.
- Dispute Resolution;Governing Law. PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE CERTAIN DISPUTES WITH SUPER AGE AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF. THIS SECTION ALSO INCLUDES A CLASS ACTION WAIVER AND AN OPT-OUT RIGHT.
- Agreement to Arbitrate. To the fullest extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, the Event, your ticket, your attendance at the Event, or any goods or services provided in connection with the Event (each, a “Dispute”) will be resolved by binding individual arbitration, except as otherwise expressly provided in this Section.
- Informal Resolution. Before commencing arbitration, either party may provide written notice of the Dispute to the other and the parties will attempt in good faith to resolve the Dispute informally. If the Dispute is not resolved within 30 days after such notice, either party may commence arbitration.
- Small Claims Court Exception. Either party may bring an individual Dispute in small claims court, rather than arbitration, if the Dispute qualifies for small claims court and remains on an individual basis.
- Arbitration Rules; Forum. The arbitration will be administered by JAMS under its applicable rules then in effect, including, as applicable, the JAMS Consumer Minimum Standards of Procedural Fairness. The arbitration will be conducted before a single neutral arbitrator. Unless otherwise agreed by the parties, the arbitration will be conducted remotely or, if an in-person hearing is required, in the state in which you reside, unless applicable law requires otherwise.
- Authority of Arbitrator. The arbitrator will have exclusive authority to resolve any Dispute, including disputes concerning the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that a court of competent jurisdiction will decide any dispute concerning the validity or enforceability of the class action waiver below. The arbitrator may award any relief available under applicable law on an individual basis, but may not award relief that is not available to the parties in their individual capacities.
- Jury Trial Waiver. YOU AND SUPER AGE EACH WAIVE ANY RIGHT TO A TRIAL BY JURY FOR ANY DISPUTE, EXCEPT TO THE EXTENT A DISPUTE IS PROPERLY BROUGHT IN SMALL CLAIMS COURT.
- Class Action Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SUPER AGE AGREE THAT EACH MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, COORDINATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS, PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING, OR AWARD RELIEF EXCEPT ON AN INDIVIDUAL BASIS.
- Opt-Out Right. You may opt out of this arbitration agreement by sending written notice of your decision to opt out to Super Age within 30 days after you first purchase a ticket, complete registration, or otherwise agree to these Terms, whichever occurs first. Your opt-out notice must include your full name, the email address used in connection with your ticket purchase or registration, and a clear statement that you wish to opt out of this arbitration agreement. If you opt out, neither you nor Super Age will be bound by this arbitration agreement, but the remainder of these Terms will continue to apply.
- Injunctive Relief. Nothing in this Section prevents either party from seeking temporary, preliminary, or other appropriate interim injunctive relief in a court of competent jurisdiction, including as necessary to protect rights pending completion of arbitration.
- Venue for Court Proceedings. To the extent any Dispute is permitted to proceed in court rather than arbitration, the parties submit to the exclusive jurisdiction of the state and federal courts located in New York, New York, except where applicable law requires otherwise. Nothing in this Section limits any non-waivable consumer rights available under applicable law.
- Governing Law. The laws of the State of New York govern these Terms and any matters related to these Terms, including any Dispute, without regard to any conflicts of laws principles that would require the application of the laws of a different jurisdiction.
- Force Majeure. Super Age will not be liable or responsible for any delay, failure to perform, suspension, modification, postponement, rescheduling, or cancellation of the Event, in whole or in part, to the extent caused by events or circumstances beyond Super Age’s reasonable control, including weather, natural disasters, public health events, war, terrorism, civil unrest, labor disruptions, governmental actions, venue unavailability, technology failures, or failures by third-party vendors, partners, or service providers. In any such event, Super Age may exercise its rights under these Terms with respect to the Event, and any refund or other remedy available to you will be determined solely under Section 3.
- Notices. Unless otherwise expressly provided in these Terms, to be effective, any notice required or permitted under these Terms must be sent to Super Age at: legal@superage.com. Super Age may provide notices to you under these Terms by email to the address you provided in connection with your ticket purchase or Event registration or, for notices of general applicability, by posting them on the Event website. Notices to Super Age will be deemed given when actually received. Notices to you will be deemed given 24 hours after sending by email or posting on the Event website, unless the sender receives notice that the email address is invalid.
- Miscellaneous. If any provision of these Terms is unenforceable, the other provisions of these Terms will be unimpaired, and the unenforceable provision will be deemed modified so that it is enforceable to the maximum extent permitted by law (unless such modification is not permitted by law, in which case such provision will be disregarded). These Terms, together with the Participant Waiver (if applicable) and any separate written agreement between you and Super Age relating to the Event, constitute the entire agreement between you and Super Age regarding the subject matter hereof and supersede all prior or contemporaneous statements, understandings, or agreements relating to such subject matter. Super Age may update these Terms from time to time, and any updated Terms will apply on a going-forward basis after posting or other notice as permitted by applicable law. No waiver of any provision of these Terms will be effective unless in writing, and no failure or delay by Super Age in enforcing any provision of these Terms will operate as a waiver of that provision or any other provision. Except as expressly permitted under these Terms with respect to ticket transfers, you may not assign or transfer these Terms or any of your rights or obligations under these Terms without Super Age’s prior written consent. Super Age may assign these Terms without restriction.
